Sereenly Affiliate Agreement

This Sereenly Affiliate Agreement ("Agreement") is made and entered into by and between Sereenly, a Florida Limited Liability Company ("Sereenly"), and you, ("Affiliate").

By clicking “I Agree to the Terms and Conditions” upon your application submission, or by participating in the Sereenly Affiliate Program, you agree to be bound by the terms and conditions of this Agreement, Sereenly’s Terms of Service, Privacy Policy, and any other applicable agreements and policies.

SECTION 1 - PARTIES

All references to "Sereenly" herein mean and refer toS ereenly LLC, its affiliates, and subsidiaries. All references to "You" and "Your" mean and refer to the Affiliate who has executed this Agreement.

SECTION 2 - APPLICATION

Your participation is contingent upon us approving your Affiliate application. You agree to provide complete, up-to-date, and accurate information in your application and promptly update any information that may change.

SECTION 3 - CONSENT TO BE CONTACTED

You consent to being contacted regarding the Affiliate Program by the email and phone number provided in your application.

SECTION 4 - COMPENSATION

Upon your acceptance into the Sereenly Affiliate Program, you will be provided with a unique Affiliate ID to track your referrals. Here’s how the compensation works:

- Tier 1 (Direct Referrals): Earn a 30% commission on the monthly subscription fees from users who sign up through your direct referral link, continuing for as long as they maintain their subscription with Sereenly.

- Subsequent Tiers (2-7): For subscriptions initiated by users referred by your direct affiliates (and so on, down to Tier 7), the commission structure is as follows:    

- Tier 2: 5% commission  

- Tier 3: 4% commission  

- Tier 4: 3% commission  

- Tier 5: 2% commission  

- Tier 6: 1% commission  

- Tier 7: 1% commission

Commissions are calculated on net subscription fees (after excluding any discounts, refunds, chargebacks, taxes, and applicable fees) from the referred users. The above commission rates for all tiers indicated above are subject to change at any time without notice. 

Payment Terms: Commissions are subject to a Net-30 payment term, meaning your eligible commissions are paid 30 days after the end of the month in which they are earned. For example, commissions earned in January will be paid on the 30th of February, ensuring ample time for all transactions within the month to be fully processed and verified. Payments are made provided you have met the minimum payout threshold of $20.

Please note that commissions are only awarded for the sale of Sereenly subscriptions and not for recruiting new affiliates without associated subscription sales. All affiliate earnings are subject to our standard review and verification process to ensure adherence to program guidelines.

SECTION 5 - TERM AND TERMINATION

The Agreement is effective upon your acceptance and will continue until terminated. Either party may terminate this Agreement at any time, with or without cause, by giving the other party notice of termination.

SECTION 6 - LEGAL COMPLIANCE

You must comply with all laws, statutes, regulations, and ordinances concerning your participation in the Affiliate Program.

SECTION 7 - TRADEMARK AND COPYRIGHT

You are granted a non-exclusive, non-transferable, revocable right to use our logos, trade names, trademarks, and similar identifying material.

SECTION 8 - REPORTING AND TRACKING
Sereenly will track sales made to customers who purchase using your Affiliate ID and will provide you with reports summarizing this sales activity.

SECTION 9 - PAYMENT

Sereenly will pay your Affiliate commissions in accordance with the compensation structure, subject to any applicable withholding or deduction as required by law.

SECTION 10 - TAXATION

As an independent contractor, you are responsible for any taxes associated with your earnings. A valid W-9 or W-8 form must be on file.

SECTION 11 - CONFIDENTIALITY

Any information that you are exposed to by virtue of your relationship with Sereenly under this Agreement, which information is not available to the general public, shall be considered to be "Confidential Sereenly Information."

SECTION 12 - INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Sereenly and its affiliates, officers, directors, employees, and agents from any and all claims, liabilities, damages, and costs arising from your breach of this Agreement or your performance.

SECTION 13 - LIMITATION OF LIABILITY

Sereenly will not be liable for indirect, special, or consequential damages, or any loss of revenue, profits, or data arising in connection with this Agreement or the Affiliate Program.

SECTION 14 - MODIFICATIONS

Sereenly may modify any of the terms and conditions in this Agreement at any time at its sole discretion.

SECTION 15 - MISCELLANEOUS

This Agreement will be governed by the laws of the United States and the state of Florida, without reference to rules governing choice of laws.
